Fiduciary Advice, M&A and Litigation
Counseling. We have longstanding advisory relationships with many financial institutions that act as fiduciaries of ERISA plans. These include banks, insurance companies, investment advisors, and mutual fund and brokerage firms. This experience also benefits our many other clients who face potential fiduciary issues on a more occasional basis.
Transactions. We frequently provide counsel on the ERISA and executive compensation implications of proposed corporate transactions and restructurings, from acquisitions to spin-offs and other divestitures to mergers.
Litigation. Our experience in ERISA litigation is exceptionally broad. The actions we have litigated run the gamut of claims from preemption and coverage issues to rights to amend benefits, allegations of breach of fiduciary duty, advisor malpractice, disputes concerning changes in control, and the validity of amendments to or termination of pension plans. Our continuous involvement in and development of those issues makes for cost-effective representation.
