Sonnenschein Represents VCNA in its Acquisition of Prairie
Sonnenschein represented Votorantim Cement North America Inc. and its affiliate St. Marys Cement Inc. in its acquisition of Prairie Material Sales, Inc., a leading supplier of ready mix concrete with 81 plants throughout the Midwest. VCNA is the North American subsidiary of Votorantim Cimentos, an international cement manufacturer and part of the Votorantim Group, one of Brazil's largest industrial conglomerates with over $44 billion in assets. In addition, Sonnenschein represented VCNA in the financing of the acquisition and in a complex internal corporate restructuring.

Sonnenschein Represents Kansas City Southern de Mexico in Private Placement
Sonnenschein represented Kansas City Southern de Mexico, S.A. de C.V., a subsidiary of Kansas City Southern, in a Rule 144A private placement of $165 million in corporate bonds. This transaction was closed on an expedited schedule, enabling our client to maximize market conditions and obtain a favorable coupon rate. Kansas City Southern de Mexico will use the proceeds of the offer, together with a new $30 million term loan, to redeem $180 million worth of an existing series of corporate bonds that carry a significantly higher coupon rate.

SEC Adopts Liberalized Foreign Private Issuer Deregistration Rules
On March 27, 2007, the U.S. Securities and Exchange Commission (the "SEC") published its new rules and adopting release that liberalize the deregistration process for foreign private issuers seeking to terminate their SEC reporting obligations pursuant to Sections 12(g) and 15(d) of the Securities Exchange Act of 1934 (the "Exchange Act"). The new rules, which were adopted by the SEC on March 21, 2007, are expected to take effect in June 2007 (60 days after publication in the U.S. Federal Register). Sonnenschein Closes Two Major Deals for Kansas City Southern de Mexico
Sonnenschein simultaneously closed on two major transactions for Kansas City Southern de Mexico, S.A. de C.V., Kansas City Southern's Mexican subsidiary. The transactions include the tender offer and consent solicitation of $150 million 10.25 percent high yield bonds and the private placement of $175 million 7.625 percent high yield bonds. The new placement was underwritten by five U.S., Spanish and Canadian investment banks led by Morgan Stanley and Banc of America Securities.

Sonnenschein Represents Mediacom Broadband, LLC in the Sale of $300 Million in Senior Notes
Sonnenschein successfully represented Mediacom Broadband, LLC, a wholly-owned subsidiary of Mediacom Communications Corporation, in connection with its Rule 144A issuance and sale of $300 million aggregate principal amount of Senior Notes due 2015. The Senior Notes were issued as an "add-on" to an August 2005 issuance of $200 million Senior Notes. The proceeds of the Senior Note offering were used to repay indebtedness outstanding under a revolving credit facility.

DOJ Ordered to Pay Attorney's Fees
A federal district court judge in Fort Worth ordered the DOJ to pay up to $4.9 million in attorney's fees for pursuing bad faith litigation against our client, Medica-Rents Co., following the dismissal of a False Claims Act lawsuit and a finding of no liability after a two week trial on the common law claims.
