Sonnenschein lawyers have acted as antitrust counsel in a wide variety of transactions and related investigations.  For confidentiality reasons, the following list of selected matters is only a small subset of the transactions and investigations in which we have been involved.

  • Representation of McDonald’s Corporation in connection with its acquisition of assets from Imasco, Ltd. (parent company of Hardee’s)—McDonald’s first United States acquisition of non-McDonald’s assets.
     
  • Representation of General Binding Corporation in connection with its acquisition of IBICO AG, a world-wide manufacturer of binding equipment and supplies headquartered in Switzerland.
     
  • Representation of TLC Laser Eye Centers in connection with its acquisition of  Laser Vision Centers, Inc.  No second request was made by the government antitrust enforcers reviewing the transaction.
     
  • Representation of The Vigoro Corporation in its acquisition of the potash mining assets of Noranda, Inc., a Canadian mining concern.  The acquisition made a Vigoro subsidiary the leading producer of potash in North America.
     
  • Representation of Sara Lee Corporation in its acquisition of Playtex Apparel, which resulted in Sara Lee becoming the world’s largest producer of women’s intimate apparel.  Our lawyers were able to persuade the U.S. Department of Justice not to challenge the acquisition, although it raised potential antitrust issues in both the U.S. and Canada.  In addition to handling all the U.S. antitrust aspects of the acquisition, Sonnenschein also coordinated the activities of Sara Lee’s Canadian and European antitrust counsel and continues to provide antitrust counsel to Sara Lee on a variety of issues including marketing arrangements, pricing questions and other antitrust issues.
     
  • Representation of Sun Electric Corporation in connection with its acquisition by Snap-On Tools.
     
  • Representation of Holiday Hospitality in European Community matters arising in connection with Holiday’s reorganization and restructuring, which involved the sale of Holiday’s existing hotel operations outside of North America.
     
  • Representation of Sara Lee Corporation in connection with an FTC investigation of an acquisition by its subsidiary (Kiwi) of additional brands.  The matter resulted in a consent decree on favorable terms.
     
  • Representation of Borg Warner in a Federal Trade Commission lawsuit challenging the sale of its aftermarket parts business.  We won the case after a trial before an FTC administrative law judge.
     
  • Representation of Barnes Jewish Children’s  Hospital in connection with a state Department of Insurance investigation of the sale of its HMO business to a competing HMO.  The transaction was approved without challenge.
     
  • Representation of a predecessor to Sara Lee Corporation in a Department of Justice lawsuit challenging the acquisition of a competing frozen food company.  Our client prevailed after a trial on the merits.
