Mergers & Acquisitions, Joint Ventures and Other Collaborations

Our practice includes extensive counseling of clients with regard to mergers and acquisitions, joint ventures and other collaborative arrangements among competitors.  We have helped clients in a variety of industries structure transactions and arrangements to minimize the risk of enforcement challenges and/or private litigation.  We assist clients in all aspects of the Hart-Scott-Rodino premerger notification process, and we work closely with clients (and with economic experts when necessary) to explain the competitive benefits of proposed transactions to attorneys and economists at the Federal Trade Commission, Department of Justice and state enforcement agencies that are reviewing a proposed transaction.

In addition to advising clients on the antitrust consequences of mergers, joint ventures and other transactions, we have represented numerous parties in federal and state investigations of proposed transactions.  We have won litigated merger trials.  We frequently represent a variety of third parties involved in government investigations and merger litigation.
